  2.  Novell Acquires Annatek Systems Inc.

  5. PROVO, Utah -- June 11, 1992 -- Novell (NASDAQ:  NOVL) today announced the
  6. signing of a definitive agreement to acquire Annatek Systems Inc.,
  7. developer of automated software distribution and management systems that
  8. centralize software distribution, installation, update, version tracking,
  9. and event scheduling between mainframes, servers, desktop clients and
  10. other network resources.

  12. New software distribution services from Novell will significantly reduce
  13. the cost of software maintenance on Novell networks and improve
  14. ease-of-use.  The additional services will add to the current suite of
  15. NetWare products that provide network management, communications,
  16. database, messaging and integration services on the network.  Annatek's
  17. current product family, Network Navigator, will continue to be developed
  18. and supported.

  20. "Automated software distribution that dramatically reduces the cost of
  21. software management has become a mission-critical requirement for many
  22. Novell customers," said Jan Newman, Novell executive vice president and
  23. general manager NetWare Systems Group.  "Annatek has distinguished itself
  24. as the leader in delivering these services.  Combined with development
  25. work already underway at Novell, we expect Annatek to accelerate our
  26. abilities to provide network managers with comprehensive software
  27. distribution as part of the array of services available with NetWare
  28. network solutions.  Annatek reflects Novell's strategy to extend the
  29. capabilities of NetWare network computing solutions."

  31. Novell will exchange $10 million cash for all outstanding shares of
  32. Annatek stock.  The nine year old Boulder, Colorado company was privately
  33. held and funded with venture capital.  Annatek has become a part of
  34. Novell's NetWare Systems Group and will continue to operate from its
  35. facilities in Boulder.

  38. met in supporting innovative information system managers at many large
  39. organizations," said Frank Richardson, president and chief executive
  40. officer of Annatek.  "We've built a profitable and stable organization
  41. that has proven itself as a trusted vendor partner.  In joining Novell we
  42. are reinforcing these qualities by becoming an important part of Novell's
  43. rapidly growing network systems solution business."

  45. Commenting on the merger, William Kirwin, vice president PC Policies &
  46. Strategies at Gartner Group said, "Annatek's Network Navigator is the most
  47. functional software distribution package on the market.  With the
  48. Annatek/Novell merger, there's an opportunity for network software
  49. management to become more effective, even as the network is becoming more
  50. complicated."

  52. Novell intends to offer standard software distribution and management
  53. services from network servers running the NetWare operating system.  These
  54. new services will allow NetWare servers to manage the simultaneous
  55. "fan-out" distribution of software to desktop computers, whether the
  56. software is initially installed directly on a server,  on other network
  57. resources, or downloaded from a host computer.
